Paralegal / Legal Operations Specialist

Overview
We are seeking a highly organized, detail-oriented Paralegal / Legal Operations Specialist to support outside general counsel and partner closely with internal stakeholders across the company. This role ensures legal processes run smoothly by managing contracts, supporting trademark and IP matters, coordinating with external counsel, and assisting with compliance and corporate governance tasks.

Key Responsibilities

1. Contract Management & Documentation

  • Manage the end-to-end contract lifecycle (NDAs, MSAs, vendor agreements, licensing agreements, employment documents, etc.), partnering with business team members and coordinating with general counsel.
  • Conduct initial contract reviews using templates and playbooks; escalate issues as needed.
  • Ensure proper version control, signatures, internal storage, and document retention.

2. Trademark & Intellectual Property Support

  • Assist outside counsel with all aspects of trademark management and brand protection.
  • Monitor trademark deadlines and maintain docket calendars (renewals, declarations, oppositions, etc.).
  • Coordinate trademark filings (applications, responses, renewals) with external counsel.
  • Gather and organize evidence for filings, enforcement, or office action responses.
  • Conduct preliminary trademark searches and flag potential conflicts.
  • Maintain records of brand assets, classes, and jurisdictions.
  • Coordinate cease & desist letters or enforcement workflows under counsel guidance.
  • Support internal stakeholders (Marketing, Product Development & Design, Sales) on brand usage guidelines and IP questions.

3. Legal Operations & Process Support

  • Build and maintain legal workflows to support scaling operations.
  • Create and refine templates, playbooks, checklists, and procedural guides.
  • Support compliance programs (privacy, data retention, IP, employment compliance, licensing).
  • Help implement and manage legal tools and software (e.g., DocuSign).
  • Serve as the intake point for cross-functional legal requests and prioritize matters with general counsel.

4. Coordination With Outside General Counsel

  • Serve as the primary operational link with outside counsel.
  • Intake, triage, prioritize, and track legal questions or new matters.
  • Prepare document packets and summaries for counsel.
  • Follow up on open issues, timelines, and deliverables.
  • Track budgets and monitor outside counsel usage.

5. Corporate Governance & Compliance

  • Assist with entity management and annual corporate filings.
  • Maintain board and investor documentation in coordination with counsel.
  • Support accuracy of corporate records, equity documents, and policies.
  • Assist with regulatory research and compliance initiatives.

6. Research & General Legal Support

  • Conduct legal research under direction of outside counsel.
  • Draft, edit, and proofread internal and external legal correspondence.
  • Maintain organized legal files and knowledge repositories.
  • Support ad hoc legal and special projects.

Qualifications

  • 2–5+ years of paralegal, legal operations, or IP/paralegal experience (in-house or law firm).
  • Familiarity with contract law fundamentals and legal issue-spotting.
  • Experience managing or coordinating trademark portfolios is strongly preferred.
  • Familiarity with USPTO processes; experience with foreign trademark counsel is a plus.
  • Experience with contract law covering Delaware, New York, and California is a nice-to-have.
  • Excellent organizational and project-management skills.
  • High attention to detail, accuracy, and confidentiality.
  • Strong communication skills and ability to support multiple business functions.
  • Paralegal certificate or IP paralegal experience is a plus but not required.
